Serve is seeking a Corporate Counsel to join the Legal Department’s corporate team, reporting to the General Counsel. You will be an integral member of the Legal Department and will be responsible for corporate legal matters including securities filings and contract review and management. You will work collaboratively with various teams across the organization, including Finance, Accounting, Investor Relations, Human Resources, and others, as well as with external counsel. Responsibilities
Assist in preparing the Company’s public disclosure documents, including SEC periodic reports such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 filings, and other SEC-related documents
Review and draft contracts including NDAs, MSAs, and other commercial agreements
Stay current on corporate governance trends and best practices and SEC and Nasdaq developments
Support Internal Audit with SOX compliance matters
Assist with the Company’s Annual Meeting of Stockholders
Manage corporate structure, including formation and maintenance of subsidiaries and foreign state qualifications
Draft clear and concise agreements, policies and procedures, as necessary
Create legal and compliance processes designed for scalability
Coordinate with and efficiently manage external counsel
Qualifications
3+ years of experience practicing corporate and securities law at a major law-firm, in-house experience a plus
JD degree from an accredited law school with strong academic credentials
Active bar admission in at least one U.S. state
Demonstrated experience with public company reporting, including preparation of periodic reports and proxy statements
Highly organized and able to work both independently and as a member of a team
Excellent written and verbal communication skills, attention to detail, good business judgment, and the ability to handle multiple projects simultaneously
Comfortable in a fast-paced environment with changing priorities
